2) No Results Guarantee
You understand and agree that marketing outcomes depend on many factors outside our control, including market conditions, competition, budgets, platform changes, and your business operations.
Nova Creative Media LLC does not guarantee any specific results, including (but not limited to) leads, sales, revenue, rankings, traffic, or conversions.
3) Payments
Payments may be made through Stripe and other approved processors.
Unless otherwise agreed in writing:Payment is due upon invoice or as stated in your agreementLate payments may result in paused or suspended servicesYou are responsible for any bank, processing, or chargeback fees
4) No Refund Policy
Due to the nature of digital services and the time/resources allocated, all payments are non-refundable.
Once services have started, no refunds will be issued for any reason.
5) Intellectual Property
Client OwnershipYou retain ownership of your business name, logo, trademarks, and content you provide.
Agency OwnershipWe retain ownership of our proprietary strategies, funnel structures, frameworks, creative systems, ad structures, templates, and internal methods used to deliver services.
Unless otherwise agreed in writing, transfer of proprietary funnel frameworks or strategy documents is not included upon termination.
6) Client Responsibilities
To enable successful delivery, you agree to:Provide accurate information and timely access to needed accountsRespond to requests and approvals promptlyEnsure your business complies with all applicable lawsFollow platform policies (Google, Meta, etc.)Avoid submitting illegal, deceptive, or prohibited content
7) Suspension or Termination
We may suspend or terminate services if:Payments are not made as agreedThere is a violation of advertising platform policiesWe detect unlawful or unethical activityYou misuse our systems or act abusively toward our team
8) Limitation of Liability
To the fullest extent permitted by law:Nova Creative Media LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages.Our total liability for any claim will not exceed the amount you paid to us in the 30 days prior to the event giving rise to the claim.
9) Indemnification
You agree to indemnify and hold harmless Nova Creative Media LLC from any claims, losses, damages, liabilities, and expenses (including attorney fees) arising out of:Content you provideYour business practicesMisleading or unlawful advertising claimsViolations of platform policies or applicable laws
10) Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
